We reserve the right to update or modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
StockCount is a cloud-based inventory counting platform that enables organizations to perform digital stock takes using mobile devices. The Service includes inventory management, real-time counting, discrepancy tracking, and reporting features.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration.
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account or any other security breach.
Subscriptions are billed on a recurring basis: monthly or annually, prepaid for each billing period, with auto-renewal until you cancel.
Payment processor: We currently use Stripe as our payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy.
Accepted payment methods: Credit cards, debit cards, and other payment methods supported by Stripe in your region.
Currency and pricing: Prices may be displayed and charged in your local currency (EUR, PLN, USD) subject to availability and payment provider rules.
Price changes: We will announce price or subscription changes at least 30 days in advance. Price changes apply to the next billing period after the notice period.
Failed payments: If a payment fails, we will attempt to retry charging your payment method. If payment fails repeatedly, your account may be downgraded or suspended.
Taxes: Prices may be subject to VAT, sales tax, or other applicable taxes based on your location. Taxes will be calculated and displayed at checkout.
Invoices: You can download invoices from your account dashboard for all successful payments.
You can cancel your subscription at any time from your account settings or by contacting support.
Cancellation effect: Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
No refunds for partial periods: We do not provide refunds for partial billing periods, except where mandatory consumer protection laws require otherwise (e.g., EU withdrawal rights).
EU withdrawal right: If you are an EU consumer, you have a 14-day withdrawal right from the date of subscription. However, if you expressly request that the Service begins immediately and you start using paid features, you acknowledge that you lose the withdrawal right for the period used.
Exceptional refunds: In exceptional circumstances (e.g., Service unavailability, billing errors), we may provide pro-rated refunds at our discretion.
After cancellation: After your subscription ends, your account will be downgraded to the free tier (if available). Some data may be retained according to our data retention policies.
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You are responsible for all data you input into the Service, including inventory data, user information, and count records.
You may not use the Service to transmit any unlawful, harmful, or offensive content.
You may not attempt to gain unauthorized access to any part of the Service or other users' accounts.
The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.
We strive to provide reliable and available Service, but we do not guarantee uninterrupted or error-free operation.
Planned maintenance: We may perform scheduled maintenance that temporarily interrupts Service availability. We will provide advance notice when feasible.
Unplanned outages: Despite our best efforts, unplanned outages may occur due to technical issues, security incidents, or factors beyond our control.
No uptime SLA: We do not currently offer a Service Level Agreement (SLA) with uptime guarantees or credits for downtime.
Status updates: During outages or incidents, we will provide status updates via email.
Third-party dependencies: Service availability may be affected by third-party services (e.g., Stripe). We are not responsible for third-party outages beyond our control.
To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or related to the Service is limited to the total fees you paid to us in the 12 months preceding the event giving rise to liability.
Exclusion of damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill.
Exceptions: Nothing in these Terms limits or excludes liability for:
Third-party services: We are not liable for any issues, errors, or damages caused by third-party services (e.g., Stripe) beyond our reasonable control.
Data loss: While we implement backups and security measures, we are not liable for data loss. You are responsible for maintaining your own backups of critical data.
Service availability: We do not guarantee uninterrupted or error-free Service. Maintenance, updates, and outages may occur.
User content: We are not liable for any content uploaded by you. You are solely responsible for ensuring content complies with applicable laws.
Consumer rights: If you are a consumer in the EU or other jurisdictions with mandatory consumer protection laws, you may have statutory rights that cannot be limited by this section.
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved in the courts of Poland.
